Once the goods are handed over, <strong>the risk is transferred to the buyer<\/strong>.<\/p>\n\n\n\n<p>This term is suitable for all modes of transport, including <strong>multimodal<\/strong>, and resolves the legal uncertainties of traditional terms like <strong>FOB, CFR, CIF<\/strong>, especially when delivery does not occur at seaports but in <strong>inland locations<\/strong>.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Key Features of FCA<\/strong><strong><\/strong><\/h3>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>1. <\/strong><strong>Definition &amp; Characteristics<\/strong><strong><\/strong><\/h5>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The seller fulfills the delivery obligation when the goods are handed over to the <strong>carrier named by the buyer<\/strong>, at a specified location.<\/li>\n\n\n\n<li>The risk transfers at the point of delivery\u2014even if the goods have not yet been loaded onto the ship or aircraft.<\/li>\n\n\n\n<li>FCA is <strong>more favorable to the seller<\/strong>\u00a0than FOB, as the seller\u2019s responsibility ends earlier.<\/li>\n<\/ul>\n\n\n\n<figure class=\"wp-block-image class=\"wp-block-list\">\n<li>Seller <strong>loads<\/strong>\u00a0the goods onto the <strong>buyer\u2019s nominated truck<\/strong>.<\/li>\n\n\n\n<li><strong>Risk transfers immediately<\/strong>\u00a0upon loading.<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>\u2705 Scenario 2: Delivery at a Location Other Than Seller\u2019s Premises<\/strong><strong><\/strong><\/h6>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Seller loads the goods onto <strong>their own truck<\/strong>\u00a0and transports them to the buyer\u2019s carrier.<\/li>\n\n\n\n<li>Upon <strong>unloading the goods for the carrier&#8217;s disposal (not actual unloading)<\/strong>, the <strong>delivery is complete<\/strong>\u00a0and risk transfers.<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>\u2705 Risk Transfer Rule<\/strong><strong><\/strong><\/h6>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Once the agreed <strong>delivery method and point<\/strong>\u00a0are confirmed and the goods are handed over, all risks and costs are borne by the buyer.<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>3. <\/strong><strong>General Obligations of the Seller<\/strong><strong><\/strong><\/h6>\n\n\n\n<p>The seller must provide:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Goods as per the contract<\/li>\n\n\n\n<li>A <strong>commercial invoice<\/strong><\/li>\n\n\n\n<li><strong>Transport documents<\/strong>\u00a0(e.g., AWB, CMR, Bill of Lading)<\/li>\n\n\n\n<li>Additional documents as required (e.g., <strong>Packing List<\/strong>, <strong>Certificate of Origin<\/strong>)<\/li>\n<\/ul>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>4. <\/strong><strong>Delivery Location and Carrier Handover<\/strong><strong><\/strong><\/h6>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The delivery location can be a <strong>port<\/strong>, <strong>airport<\/strong>, <strong>container freight station<\/strong>, or any <strong>specified site<\/strong>.<\/li>\n\n\n\n<li>If delivery is at seller\u2019s premises and full-container-load (FCL), the seller must:<ul><li>Load the goods into the container<\/li><\/ul><ul><li>Secure the cargo<\/li><\/ul>\n<ul class=\"wp-block-list\">\n<li>Seal the container<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n<p>If delivery is <strong>off-site<\/strong>, the seller must deliver the goods (still loaded on their vehicle) to the buyer\u2019s carrier <strong>without unloading<\/strong>.<\/p>\n\n\n\n<h6 class=\"wp-block-heading\"><strong>5. <\/strong><strong>Choice of Delivery Method and Location<\/strong><strong><\/strong><\/h6>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The buyer may reserve the right to specify the delivery point and mode of transport <strong>at a later stage<\/strong>, but:\n<ul class=\"wp-block-list\">\n<li>The scope and deadline for exercising that right must be defined.<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li>If no such right is reserved and the carrier has <strong>multiple receiving points<\/strong>, the seller may choose the most suitable within the agreed location.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Risk Transfer in FCA<\/strong><strong><\/strong><\/h3>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>1. <\/strong><strong>What is Considered Risk?<\/strong><strong><\/strong><\/h5>\n\n\n\n<p>Risk refers to <strong>loss or damage due to accidental events<\/strong>.<br>It excludes:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Inherent product issues<\/li>\n\n\n\n<li>Poor packaging<\/li>\n\n\n\n<li>Missing or unclear labels<\/li>\n<\/ul>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>2. <\/strong><strong>When Risk Transfers<\/strong><strong><\/strong><\/h5>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Upon delivery to the carrier or nominated party.<\/li>\n\n\n\n<li>Even if <strong>delivery is delayed<\/strong>\u00a0by buyer\u2019s failure to nominate a carrier or provide timely notice, <strong>risk may still transfer<\/strong>\u00a0at the agreed date or upon contract expiry (Incoterms B3).<\/li>\n\n\n\n<li>This is called <strong>premature passing of risk<\/strong>.<\/li>\n<\/ul>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>3. <\/strong><strong>Conditions for Risk Transfer<\/strong><strong><\/strong><\/h5>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Goods must be <strong>identified to the contract<\/strong>\u00a0(clearly marked or documented).<\/li>\n\n\n\n<li>The delivery method and point must be agreed upon and confirmed.<\/li>\n\n\n\n<li>Delivery must be executed as defined\u2014either at the seller\u2019s location or elsewhere.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Insurance Under FCA<\/strong><strong><\/strong><\/h3>\n\n\n\n<p>Insurance is <strong>not mandatory<\/strong>&nbsp;for the seller under FCA.<br>However, for cargo safety, buyers are advised to obtain insurance coverage starting:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>From the time goods <strong>leave the seller\u2019s warehouse<\/strong><\/li>\n\n\n\n<li>Until they <strong>arrive at the buyer\u2019s designated location<\/strong><\/li>\n<\/ul>\n\n\n\n<p><strong>Note:<\/strong><br>There is typically an <strong>uninsured gap<\/strong>&nbsp;between when the seller delivers to the carrier and when the goods leave the seller\u2019s storage facility.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Expenses and Cost Allocation<\/strong><strong><\/strong><\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Seller pays<\/strong>\u00a0for pre-carriage and delivery to the agreed point.<\/li>\n\n\n\n<li><strong>Buyer pays<\/strong>\u00a0for main carriage, import duties, insurance, and any additional logistics beyond the point of delivery.\u00a0<br><\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Practical Notes and Best Practices<\/strong><strong><\/strong><\/h3>\n\n\n\n<ol class=\"wp-block-list\">\n<li><strong>Clarify the exact delivery point<\/strong>, not just the general area (as with EXW).<\/li>\n\n\n\n<li>FCA allows <strong>Bill of Lading to state &#8220;Shipped on Board&#8221;<\/strong>, which is essential for <strong>LC and D\/P<\/strong>\u00a0payment methods.<\/li>\n\n\n\n<li><strong>Document control is key<\/strong>: Without a negotiable Bill of Lading, the seller may lose leverage if using AWB, SWB, FCR, etc.<\/li>\n\n\n\n<li><strong>In ocean freight<\/strong>:<\/li>\n\n\n\n<li>If delivery is at seller\u2019s premises: Seller must seal containers for FCL, or load goods onto buyer\u2019s transport for LCL.<\/li>\n\n\n\n<li>If delivery is off-site: Seller covers local delivery unless it&#8217;s part of the freight contract.<\/li>\n\n\n\n<li><strong>In air freight<\/strong>: If buyer doesn\u2019t collect from seller\u2019s premises, seller delivers to airport consolidation center.<\/li>\n<\/ol>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Related Terms: CPT vs FCA vs CFR<\/strong><strong><\/strong><\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>CPT (Carriage Paid To)<\/strong>\u00a0is an extension of FCA where the seller arranges and pays for main transport.<\/li>\n\n\n\n<li><strong>Key Difference from CFR<\/strong>:<\/li>\n\n\n\n<li>Under CPT, <strong>risk transfers upon carrier handover<\/strong>, not upon vessel loading (as in CFR).<\/li>\n\n\n\n<li>CPT supports <strong>all modes of transport<\/strong>; CFR is limited to <strong>sea and inland
